  • "Client", "you", "your" refers to the individual or entity engaging our services
  • "Services" refers to all consulting, advisory, and professional services provided by MIIND
  • "Agreement" refers to these Terms and Conditions plus any specific service agreements
  • "Confidential Information" includes all non-public business information shared between parties

2. Service Provision

Scope of Services

  • Business consulting: Strategy development, operational improvement, and business analysis
  • Financial advisory: Financial planning, analysis, and optimization services
  • Audit services: Independent assessments and compliance reviews
  • Digital transformation: Technology strategy and implementation guidance

Service Standards

MIIND commits to providing services with professional competence, independence, and in accordance with applicable professional standards and Luxembourg regulations.

3. Client Obligations

Clients agree to:

  • Provide accurate information: Supply complete, accurate, and timely information necessary for service delivery
  • Timely cooperation: Respond promptly to requests for information, meetings, and approvals
  • Access provision: Provide reasonable access to personnel, systems, and documentation
  • Payment obligations: Make payments according to agreed terms and schedules
  • Compliance: Ensure compliance with all applicable laws and regulations

4. Fees and Payment Terms

Fee Structure

  • Fixed fees for defined project scope
  • Time-based billing for ongoing services
  • Success fees for specific outcomes (where applicable)
  • Expenses reimbursement at cost

Payment Terms

  • Payment period: 30 days from invoice date
  • Late payment: Interest charges may apply
  • Currency: All fees quoted in EUR unless specified
  • Taxes: Exclusive of VAT and applicable taxes

5. Confidentiality and Data Protection

Mutual Confidentiality

Both parties agree to maintain strict confidentiality of all information shared during the engagement, including:

  • Business strategies, financial data, and operational information
  • Technical specifications, processes, and methodologies
  • Client lists, supplier information, and commercial relationships
  • Any information marked as confidential or reasonably considered sensitive

6. Intellectual Property Rights

MIIND Intellectual Property

MIIND retains ownership of:

  • Methodologies, frameworks, and analytical tools developed by MIIND
  • General knowledge and experience gained through engagements
  • Pre-existing intellectual property and know-how

Client Intellectual Property

Clients retain ownership of their pre-existing intellectual property and any client-specific deliverables created during the engagement.

7. Liability and Indemnification

Limitation of Liability

MIIND's liability is limited to:

  • Direct damages only (excluding indirect, consequential, or punitive damages)
  • Maximum liability capped at fees paid for the specific service in question
  • Claims must be made within 12 months of service completion

Professional Indemnity

MIIND maintains professional indemnity insurance appropriate to the services provided.

8. Termination

Termination Rights

  • Mutual consent: Either party may terminate by mutual agreement
  • Notice period: 30 days written notice for ongoing services
  • Immediate termination: For material breach, insolvency, or other specified events
  • Project completion: Fixed-term projects end upon completion or agreed date

Post-Termination

Upon termination, confidentiality obligations continue, final payments become due, and work products are delivered according to agreed terms.

9. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond reasonable control, including:

  • Natural disasters, pandemics, or public health emergencies
  • Government actions, regulations, or travel restrictions
  • Technical failures, cyber attacks, or infrastructure issues
  • Labor strikes, supplier failures, or material shortages

10. Governing Law and Jurisdiction

Applicable Law

These Terms and Conditions are governed by Luxembourg law and interpreted in accordance with Luxembourg legal principles.

Dispute Resolution

  • Negotiation: Parties will first attempt good faith negotiation
  • Mediation: If negotiation fails, mediation through a recognized Luxembourg institution
  • Arbitration: Final disputes resolved through Luxembourg arbitration courts
  • Language: All proceedings conducted in French or English as mutually agreed

11. General Provisions

Modifications

These terms may be modified only by written agreement signed by both parties. Updates to standard terms will be communicated with 30 days notice.

Severability

If any provision is found unenforceable, the remainder of these terms shall remain in full force and effect.

Assignment

Rights and obligations may not be assigned without prior written consent, except to affiliated entities.

Entire Agreement

These terms, together with specific service agreements, constitute the entire agreement between the parties.
